About the Role

The Company is seeking an Associate General Counsel to join its dynamic legal team. The successful candidate will work closely with the General Counsel and Deputy General Counsel to provide legal counsel on a wide range of matters, including grantmaking, investments, and impact investments. This role involves serving as primary legal counsel to multiple grantmaking teams, advising on grant structures, legal due diligence, and compliance with tax rules. The Associate General Counsel will also be involved in reviewing, drafting, and negotiating a variety of legal agreements, and contributing to the development of legal systems and operations. Strategic legal leadership, staff training, and external engagement are also key responsibilities of the position. Applicants must have a Juris Doctor from an accredited institution, with a strong academic and professional record, and be admitted to the Illinois State Bar or eligible for immediate admission. A minimum of 5 years' legal experience is required, with a preference for those with in-house experience and knowledge of private foundation tax law, nonprofit governance, and philanthropic sector regulation. The ideal candidate will have experience in investment and impact investment deals, international grantmaking compliance, and data privacy and technology agreements. The role demands a critical thinker with the ability to manage multiple projects, think strategically, and balance risk management with innovation in a fast-moving legal environment. High integrity, discretion, and the ability to build positive, collaborative relationships are essential.
